Terms of Service

Welcome to Enchi. These Terms of Service ("Terms") govern your access to and use of the Enchi website, platform, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Enchi provides a travel profile management platform that enables individuals ("Travelers") to create, maintain, and control their travel preferences, documents, and loyalty program information. The Service also allows Travelers to selectively share this information with employers, travel management companies, and other authorized organizations ("Organizations"). Enchi acts as a neutral platform and does not itself provide travel booking, travel management, or employment services.
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify Enchi immediately of any unauthorized use of your account or any other breach of security. Enchi will not be liable for any loss or damage arising from your failure to protect your account credentials.
4. User Content and Data Ownership
You retain ownership of all content, data, and information you submit to the Service ("User Content"). By submitting User Content, you grant Enchi a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service. You represent and warrant that you have all necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable laws.
5. Information Sharing and Privacy Controls
Enchi provides you with granular controls over what information you share with Organizations. You are solely responsible for reviewing and managing your sharing settings. When you authorize an Organization to access your information, you understand that Enchi will share the designated information with that Organization in accordance with your settings. Enchi is not responsible for how Organizations use information once it has been shared with them pursuant to your authorization.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable laws or regulations; (b) submit false, misleading, or fraudulent information; (c) interfere with or disrupt the Service or servers or networks connected to the Service; (d) attempt to gain unauthorized access to any portion of the Service or any other systems or networks; (e) use the Service to transmit any viruses, malware, or other harmful code; (f) harvest or collect information about other users without their consent; or (g) use the Service in any manner that could damage, disable, overburden, or impair the Service.
7. Intellectual Property
The Service, including all content, features, functionality, software, and trademarks, is owned by Enchi or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without Enchi's prior written consent.
8. Third-Party Services
The Service may contain links to or integrations with third-party websites, services, or applications. Enchi does not control and is not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
9. Fees and Payment
The Service is free for individual Travelers. Organizations may be subject to subscription fees as described on our website. Enchi reserves the right to modify its pricing at any time, provided that any price changes will not affect your current subscription period. All fees are non-refundable except as expressly stated otherwise.
10. Termination
You may terminate your account at any time by following the instructions in the Service. Enchi may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may request a copy of your data prior to termination in accordance with our Privacy Policy.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ENCHI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENCHI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ENCHI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ENCHI'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO ENCHI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Enchi and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
15. Arbitration Agreement
You and Enchi agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to Terms
Enchi reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
17. General Provisions
These Terms constitute the entire agreement between you and Enchi regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Enchi's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without Enchi's prior written consent. Enchi may assign these Terms without restriction.
